Terms of Service

1. What this document covers

These Terms of Service (“Terms”) are a binding agreement between you and simdar. They govern your access to and use of the simdar platform, including the web application at simdar.app, all associated APIs, messaging integrations, public document pages, and any related services (collectively, the “Service”).

By creating an account, accessing the Service, or using any part of it, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

These Terms apply whether you access the Service from a mobile device, a desktop browser, or through a messaging channel such as WhatsApp or Telegram. They apply to every plan tier, including the free tier.

2. Who can use simdar

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. By registering, you represent that you meet this requirement.

simdar is designed for businesses — sole operators, micro-businesses, and small teams. When you create an account, you do so on behalf of yourself or of a business entity you are authorised to represent. You are responsible for all activity under your account.

You may not use the Service if you have been previously suspended or removed. You may not use the Service for any purpose that is unlawful in the jurisdiction where you operate.

3. Your account

You sign in with a phone number and a one-time verification code. You are responsible for maintaining access to your phone number. If your number changes, contact us to update your account before the old number becomes inaccessible.

You must not share your verification codes with anyone. You must not allow others to access your account. You are responsible for any actions taken through your account, whether or not you authorised them.

We may suspend or terminate your account if we reasonably believe it is being used in violation of these Terms, or if required by law.

4. What simdar provides

simdar is a business operations platform that helps you manage customer conversations, create and send quotes, deposits, and invoices, track jobs, and organise your workflow — primarily through messaging channels your customers already use.

The Service includes, depending on your plan tier:

  • Creating and managing customer records, jobs, quotes, deposits, and invoices
  • Generating shareable links to bilingual, branded documents (quotes, invoices, deposits) that your customers can view without logging in
  • Sending and receiving messages through connected channels (WhatsApp, Telegram, and others as they become available)
  • A manual send mode on the free tier, where simdar prepares a message and you send it yourself through your own WhatsApp
  • Real-time conversation threading and inbox management
  • Business settings including tax configuration, team members, and job type customisation

We do not guarantee that every feature will be available at all times. We may add, modify, or discontinue features with reasonable notice. Core functionality — your ability to access your invoices, customer records, and conversation history — will not be removed without at least 30 days' written notice.

5. Plans and pricing

simdar offers multiple plan tiers. The current plans, their capabilities, and their prices are displayed on the simdar.app landing page and within the application. Prices are stated in US dollars.

The free tier (Basic) is genuinely free with no time limit. It provides core document and job management features with manual message sending. It does not expire and does not require a credit card.

Paid tiers provide additional capabilities such as direct messaging through platform APIs and, in the future, AI-powered features. Paid tiers are billed monthly. You may cancel at any time; cancellation takes effect at the end of the current billing period.

We may change pricing with at least 30 days' notice. Price changes do not apply retroactively to the current billing period. If you do not agree with a price change, you may downgrade or cancel before it takes effect.

simdar uses a capability-based model, not usage quotas. We do not limit the number of invoices, quotes, jobs, or messages you can create on any tier. We reserve the right to introduce fair-use limits if necessary to protect the Service for all users, with advance notice.

6. Your data and your customers' data

You own your data. simdar does not claim ownership of any content you create, upload, or transmit through the Service — including business information, customer records, invoices, quotes, messages, and any other content.

You grant simdar a limited licence to store, process, display, and transmit your data solely for the purpose of providing and improving the Service. This licence ends when you delete your data or close your account.

You are the data controller for the personal data of your customers that you enter into simdar. You are responsible for having a lawful basis to collect and process that data, for informing your customers about how their data is used, and for responding to their data requests. simdar acts as a data processor on your behalf.

simdar does not store customer media (photos, voice notes, videos). Media shared through messaging channels remains on those platforms. simdar stores message text and metadata only.

7. Messaging channels and third-party platforms

simdar integrates with third-party messaging platforms including WhatsApp (operated by Meta Platforms, Inc.) and Telegram. Your use of these platforms through simdar is also subject to their respective terms of service and policies.

We strongly recommend that you connect a WhatsApp Business account to simdar, not your personal WhatsApp account. WhatsApp Business accounts are designed for commercial use, offer business-specific features, and provide clearer separation between personal and business communications. simdar is built to work with WhatsApp Business and we cannot guarantee the same experience with a personal account.

Using a personal WhatsApp account for business purposes may violate WhatsApp's own terms of service. simdar is not responsible for any action WhatsApp or Meta takes against your account if you choose to use a personal account for business messaging.

simdar cannot control the availability, reliability, or policies of third-party platforms. If WhatsApp, Telegram, or another platform changes its API, pricing, terms, or availability, simdar will adapt where possible but cannot guarantee uninterrupted service through that channel.

Message delivery through third-party platforms is subject to those platforms' delivery mechanisms and session rules. For example, WhatsApp imposes a 24-hour session window for free-form messaging — outside that window, only pre-approved template messages may be sent. simdar surfaces these rules in the interface but does not control them.

8. Acceptable use

You agree to use simdar only for lawful business purposes. You must not use the Service to:

  • Send unsolicited messages, spam, or bulk commercial messages to people who have not consented to receive them
  • Harass, threaten, or abuse any person
  • Transmit malicious software, phishing attempts, or fraudulent content
  • Impersonate another person or business
  • Create invoices, quotes, or other documents for fraudulent transactions
  • Circumvent any access restrictions, security measures, or rate limits
  • Use the Service in any way that could damage, disable, or impair it, or interfere with any other party's use
  • Violate any applicable law, regulation, or the terms of any connected messaging platform
  • Use the Service to collect, store, or process data about individuals without a lawful basis
  • Attempt to access data belonging to other simdar users or tenants

We reserve the right to suspend or terminate accounts that violate these rules, with or without notice depending on the severity of the violation.

9. Invoices, quotes, and tax compliance

simdar provides tools to create and send invoices, quotes, and deposits. These documents reflect the information you enter. simdar does not verify the accuracy, legality, or tax compliance of your documents.

You are solely responsible for ensuring that your invoices comply with the tax laws of your jurisdiction — including correct tax rates, tax identification numbers, invoice numbering requirements, and any mandatory fields or formats.

simdar supports configurable VAT categories (standard, zero-rated, exempt, and out-of-scope) and resolves the applicable tax regime based on your country. However, tax rules change, and simdar does not provide tax advice. Consult a qualified accountant or tax authority for your specific obligations.

Where electronic invoicing regulations apply (such as ZATCA in Saudi Arabia, or the Egyptian Tax Authority), simdar may offer compliance features in the future. Until those features are active, you are responsible for meeting any e-invoicing obligations through other means.

10. Intellectual property

simdar and its original content (excluding your data), features, functionality, design, and branding are owned by simdar and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its software. You may not reverse-engineer or attempt to extract the source code of the Service, except where applicable law expressly permits it.

The simdar name, logo, and brand elements are trademarks of simdar. You may not use them without prior written permission, except to accurately refer to simdar as a service you use.

11. Availability and service levels

We aim to keep simdar available at all times but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, infrastructure issues, or circumstances beyond our control.

We will make reasonable efforts to notify you of planned maintenance in advance. Unplanned outages will be communicated through our status channels as soon as practicable.

simdar depends on third-party infrastructure providers (including Supabase and Vercel) and messaging platforms. Outages or changes at those providers may affect the Service, and simdar is not liable for downtime caused by third parties.

12. Limitation of liability

To the maximum extent permitted by applicable law, simdar shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service.

simdar's total cumulative liability to you for all claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to simdar in the twelve (12) months preceding the claim, or fifty US dollars ($50), whichever is greater.

This limitation applies whether the claim is based on warranty, contract, tort, negligence, strict liability, or any other legal theory, and whether or not simdar has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

13. Disclaimer of warranties

The Service is provided "as is" and “as available” without warranties of any kind, whether express, implied, or statutory. simdar disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

simdar does not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. simdar does not warrant that any specific result will be achieved through use of the Service.

You acknowledge that no advice or information, whether oral or written, obtained from simdar or through the Service creates any warranty not expressly stated in these Terms.

14. Indemnification

You agree to indemnify, defend, and hold harmless simdar, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any content you create, upload, or transmit through the Service
  • Your violation of the rights of any third party, including your customers
  • Any dispute between you and your customers regarding invoices, quotes, services, or payments

15. Termination

You may stop using simdar at any time. To close your account and request deletion of your data, contact us at the email address below.

We may suspend or terminate your access to the Service at any time if you violate these Terms, if required by law, or if we discontinue the Service. Where reasonably possible, we will provide advance notice.

Upon termination, your right to use the Service ceases immediately. We will retain your data for a reasonable period to allow you to export it, after which it will be deleted in accordance with our Privacy Policy. Data we are legally required to retain (such as tax documents) will be kept for the required period.

16. Dispute resolution

We prefer to resolve disputes informally. If you have a concern, contact us first and we will work to resolve it. Most concerns can be resolved quickly through direct communication.

If we cannot resolve a dispute informally within 30 days, either party may pursue resolution through the courts of competent jurisdiction. You agree that any legal action or proceeding arising out of these Terms shall be brought exclusively in the courts of Lebanon, and you consent to the jurisdiction of those courts.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

17. Changes to these terms

We may update these Terms from time to time to reflect changes in the Service, in the law, or in our business practices. When we make material changes, we will notify you by email or through a prominent notice within the Service at least 15 days before the changes take effect.

Your continued use of the Service after the updated Terms take effect constitutes acceptance of the new Terms. If you do not agree with the changes, you should stop using the Service before the effective date.

The "Last updated" date at the top of this page indicates when these Terms were most recently revised.

18. General provisions

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and simdar regarding the Service. They supersede any prior agreements or understandings.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it in the future.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. simdar may assign its rights and obligations without restriction.

Force majeure. simdar is not liable for any failure or delay in performing its obligations where such failure or delay results from causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, riots, government actions, internet or telecommunications failures, or failures of third-party services.

Language. These Terms are provided in both Arabic and English. In the event of any conflict or ambiguity between the two versions, the English version prevails for legal interpretation. The Arabic version is provided for accessibility and convenience.
